1. Introduction

These Terms and Conditions (“Terms”) govern your access to and use of www.digi-fi.co.za (“the Website”) and any purchase of goods from DIGI FI (Pty) Ltd, trading as “Digi-Fi” (“Digi-Fi”, “we”, “us”, “our”). By accessing the Website, creating an account or placing an order, you agree to be bound by these Terms. Please read them carefully – if you do not agree, please do not use the Website. These Terms are subject to the Consumer Protection Act 68 of 2008 (CPA) and the Electronic Communications and Transactions Act 25 of 2002 (ECT Act), and nothing in them limits your statutory rights.

3. Definitions

Goods / Products – the items offered for sale on the Website.
Order – your request to purchase Goods.
You / Customer – the person accessing the Website or placing an Order.
Business day – any day other than a Saturday, Sunday or South African public holiday.

4. Eligibility & your account

You must be at least 18 years old and legally able to enter into a binding contract to place an Order.
If you create an account, you are responsible for keeping your login details confidential and for all activity under your account.
You agree to provide accurate, current and complete information and to keep it up to date.
We may suspend or close an account used in breach of these Terms or for fraudulent or unlawful activity.

5. Products, pricing & availability

All prices are in South African Rand (ZAR) and include VAT at 15%.
We make every effort to ensure prices, descriptions, specifications and images are accurate, but errors may occur. Images are for illustration and may differ slightly from the actual item.
If we discover a genuine error in the price or description of Goods you have ordered, we will contact you to confirm whether you wish to proceed at the correct price or cancel for a full refund. We are not obliged to supply Goods at an incorrect price.
All Goods are subject to availability. If an item is unavailable after you order, we will notify you and offer a refund or a suitable alternative.

6. Promotions, vouchers & discounts

Promotions, discount codes and special offers are subject to their own terms, may be time-limited, and may be withdrawn or changed at any time.
Discount codes cannot be exchanged for cash and may not be combined unless stated.
We may cancel an Order where a promotion has been used fraudulently or in breach of its terms.

7. Orders & formation of the contract

When you place an Order, you make an offer to purchase the Goods subject to these Terms.
You will receive an email acknowledging your Order. This acknowledgement is not acceptance of your Order.
A binding contract comes into effect only once we accept your Order – which we do when payment has cleared and we dispatch the Goods (or notify you of dispatch).
We reserve the right to decline or cancel any Order (for example due to stock, a pricing/description error, or suspected fraud). Where we cancel, any payment made will be refunded.

8. Payment

We accept payment via Payfast (credit/debit card and Instant EFT) and by Direct Bank Transfer (EFT).
Card payments are processed securely by Payfast; we do not see, collect or store your card details.
For Direct Bank Transfer, your Order is reserved and only dispatched once payment reflects in our account. Use your Order number as the reference and email proof of payment to info@digi-fi.co.za.
Certain high-value Orders may be payable by Direct Bank Transfer (EFT) only.
Ownership of the Goods remains with us until we have received full payment.

9. Delivery

We deliver within South Africa via courier (The Courier Guy) at a flat rate of R85 (including VAT) per Order.
Delivery timeframes are estimates only and not guaranteed. We are not liable for delays caused by the courier, incorrect details, or circumstances beyond our reasonable control.
You are responsible for providing a correct, complete and accessible delivery address and for ensuring someone is available to receive the Goods. Re-delivery due to incorrect details or a failed delivery may incur an additional charge.
Risk in the Goods passes to you on delivery.

10. Cancellations

You may cancel an Order before dispatch by contacting us as soon as possible; if payment has been made, we will refund it.
Once Goods have been dispatched, cancellations and returns are governed by our Refund & Returns Policy and your rights under the CPA and ECT Act.

11. Returns, refunds & warranties

Your rights to return Goods and obtain refunds are set out in our Refund & Returns Policy, and product warranties in our Warranty Policy. In summary: you may cancel an online purchase within 7 days of delivery (ECT Act cooling-off; return costs for your account), and you may return defective Goods for repair, replacement or refund within 6 months (CPA).

12. Consumer rights

Nothing in these Terms limits or excludes your rights under the CPA, the ECT Act or any other applicable law. Where any provision conflicts with your statutory rights, your statutory rights prevail.

13. Intellectual property

All content on the Website – including text, logos, trademarks, graphics, images and layout – is owned by or licensed to DIGI FI (Pty) Ltd and is protected by law. You may not copy, reproduce, distribute or use any content without our prior written permission.

14. Third-party links

The Website may link to third-party websites (for example payment providers). We are not responsible for the content, products or privacy practices of those websites, and access is at your own risk.

15. Limitation of liability & indemnity

To the maximum extent permitted by law, and without limiting your rights under the CPA, DIGI FI (Pty) Ltd, its directors and employees will not be liable for any indirect, incidental or consequential loss or damage arising from your use of the Website or the Goods.
The Website is provided “as is” and “as available”. We do not warrant that it will be uninterrupted, secure or error-free.
You agree to indemnify us against any claim, loss or expense arising from your breach of these Terms or your unlawful use of the Website.

16. Force majeure

We are not liable for any failure or delay in performing our obligations caused by events beyond our reasonable control, including load-shedding, natural disasters, strikes, courier failures, or disruptions to telecommunications or internet services.

17. Privacy

We process your personal information in accordance with our Privacy Policy and the Protection of Personal Information Act (POPIA).

18. General

Severability – if any provision is found invalid or unenforceable, the remaining provisions continue in full force.
Whole agreement – these Terms, together with the policies referred to in them, constitute the entire agreement between you and us.
No waiver – our failure to enforce any right is not a waiver of that right.
Cession – you may not cede your rights under these Terms without our consent; we may cede our rights and delegate our obligations to a successor-in-title.
Notices – we may communicate with you by email or by posting notices on the Website.

19. Governing law & disputes

These Terms are governed by the laws of the Republic of South Africa. Before pursuing formal legal action, we ask that you contact us so we can try to resolve any dispute amicably. Any unresolved disputes are subject to the jurisdiction of the South African courts.

20. Changes to these Terms

We may update these Terms from time to time. The current version will always appear on this page with the effective date above. Continued use of the Website after changes constitutes acceptance of the updated Terms.
